Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Complicer platform and related services (collectively, the "Service") operated by Complicer ("we", "our", or "us"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By creating an account or accessing the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

Complicer is a compliance automation platform that provides automated website auditing, GDPR compliance monitoring, risk assessment, and evidence generation for regulatory compliance. The Service includes:

  • Automated compliance audits and scanning of websites and web applications.
  • Compliance scoring, risk assessment, and remediation guidance.
  • Evidence package generation for regulatory reporting.
  • API access for programmatic integration with your existing tools and workflows.
  • Team collaboration features, notifications, and integrations.

We strive to maintain a Service availability of 99.9% uptime for paid plans (Pro, Business, and Enterprise). Scheduled maintenance windows will be communicated at least 48 hours in advance. Enterprise customers receive a formal Service Level Agreement (SLA) with guaranteed uptime and response times.

3. Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials and not share them with others.
  • Promptly notify us of any unauthorized access to or use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Subscription & Billing

Complicer offers multiple subscription tiers, each with different features and usage limits:

Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in Euros and exclude applicable VAT. Payment is processed securely through Stripe. You authorize us to charge your selected payment method for all applicable fees.

Upgrades: When upgrading mid-cycle, you pay only the prorated difference for the remainder of the current billing period.

Downgrades: When downgrading, the change takes effect at the end of the current billing period. Any unused credit is applied to future invoices.

Refunds: We offer a 14-day money-back guarantee for first-time paid subscriptions. After 14 days, refunds are issued at our discretion.

5. Free Tier

The Free tier provides limited access to the Service at no cost. Free tier accounts are subject to the following conditions:

  • Limited to 1 website and 5 audits per month.
  • PDF reports are watermarked with the Complicer branding.
  • Community support only (no priority email or chat support).
  • No SLA guarantee; the Service is provided on an "as available" basis.
  • We reserve the right to modify, limit, or discontinue the Free tier at any time with 30 days' notice.

Free tier users may upgrade to a paid plan at any time to access additional features and higher usage limits. A 14-day free trial is available for Pro and Business plans.

6. Usage Limits

Each subscription tier includes specific usage limits for websites, audits, team members, and API calls. These limits are specified on our Pricing page and in your account dashboard.

API rate limiting: API access is subject to rate limits based on your plan. Current limits are 100 requests per minute for Pro, 500 for Business, and custom limits for Enterprise. Exceeding rate limits will result in HTTP 429 responses. Persistent abuse may result in temporary or permanent API access suspension.

Fair use: Plans with "unlimited" audits are subject to a fair use policy. We define fair use as usage consistent with normal business operations. Automated or scripted mass auditing that exceeds reasonable thresholds may be throttled or restricted.

7. Intellectual Property

The Service, including all software, algorithms, designs, documentation, trademarks, and other intellectual property, is and remains the exclusive property of Complicer and its licensors. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms for the duration of your subscription.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service or any part thereof without our prior written consent.

8. User Content

You retain all ownership rights to the data and content you submit to the Service ("User Content"), including website URLs, audit configurations, and any custom workflows.

By submitting User Content, you grant Complicer a limited, non-exclusive license to process, store, and display it solely for the purpose of providing the Service to you. We will not use your User Content for any other purpose, including training machine learning models or sharing with third parties, except as described in our Privacy Policy.

Data handling: All User Content is encrypted at rest (AES-256) and in transit (TLS 1.3). Audit results are stored in EU-based data centers. You may export or delete your data at any time through the Service or by contacting support.

9. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Audit, scan, or probe websites or systems without proper authorization from their owners.
  • Attempt to gain unauthorized access to the Service, accounts, or systems.
  • Transmit viruses, malware, or any other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or redistribute the Service without written authorization.
  • Use the Service to generate false or misleading compliance reports.
  • Circumvent or attempt to circumvent any usage limits, rate limits, or security measures.

Violation of these restrictions may result in immediate suspension or termination of your account.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPLICER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Service will be accurate or reliable; or (c) the Service will meet your specific requirements.

Complicer's compliance audits and reports are tools to assist your compliance efforts. They do not constitute legal advice and should not be relied upon as such. You should consult qualified legal counsel for compliance decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPLICER'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO COMPLICER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

In no event shall Complicer be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be lawfully excluded, including liability for fraud, gross negligence, or death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless Complicer, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms.
  • Your violation of any applicable law or third-party rights.
  • Auditing or scanning websites without proper authorization.
  • Any User Content you submit through the Service.

13. Termination

By you: You may cancel your subscription and delete your account at any time through your account settings. Upon cancellation, your access continues until the end of the current billing period.

By us: We may suspend or terminate your account if you breach these Terms, engage in prohibited uses, fail to pay applicable fees, or if we are required to do so by law. Where possible, we will provide 30 days' notice before termination.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be permanently deleted. Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, indemnification, and governing law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

For consumers in the EU, nothing in these Terms affects your statutory rights under mandatory consumer protection laws of your country of residence.

15. Dispute Resolution

We encourage you to contact us first to resolve any dispute informally at [email protected].

If a dispute cannot be resolved informally within 30 days, either party may submit the dispute to mediation administered by a mutually agreed-upon mediation service in Dublin, Ireland. If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of Ireland.

EU consumers may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
